VIAVI to Acquire Spirent Communications’ Ethernet and Network Security Business
CHANDLER, Ariz., March 5, 2025 — VIAVI Solutions has signed a definitive agreement to acquire Spirent Communications plc’s high speed ethernet and network security business lines from Keysight Technologies. The deal carries a value of $410 million base cash consideration as well as an additional $15 million contingent cash consideration to be paid at closing.
The acquisition is expected to close in the second quarter of 2025, following the close of Keysight’s acquisition of Spirent.
The transaction, VIAVI said, provides a complementary addition to its ethernet testing platform and immediate infusion of software, hardware, and protocol domain expertise across network layers. According to VIAVI president and CEO Oleg Khaykin, the deal specifically brings an ethernet test and security product portfolio in the network equipment manufacturers, enterprise, service providers, data center ecosystem, and government segments.
The deal follows VIAVI Solutions' attempt to acquire Spirent Communications last year. In addition to its products, Spirent provides services and managed solutions for test assurance and automation of technologies including 5G, software-defined wide area networks, cloud, and autonomous vehicles.
