CHANDLER, Ariz. Dec. 20, 2024 — Viavi Solutions has signed a definitive agreement to acquire Inertial Labs for initial consideration of $150 million at closing and up to $175 million of contingent consideration over four years. The acquisition expands Viavi’s portfolio and extends its reach into aerospace, defense, and industrial end markets.

Headquartered in Leesburg, Virginia, Inertial Labs is a leading developer, producer, and supplier of high-performance orientation, positioning, and navigation solutions for aerospace, defense, and industrial applications. The company offers inertial measurement units, inertial navigation systems, assured position navigation and timing, GNSS tracking, lidar scanning, alternative navigation, and visual navigation solutions, which are highly complementary to Viavi's existing positioning, navigation and timing, and other aerospace and defense solutions.

Additionally, Inertial Labs' solutions include enablement of utility inspection through lidar and photogrammetry algorithms, and smart system navigation for both airborne and autonomous ground vehicles, which accelerates Viavi's entrance into industrial and autonomous delivery and transportation end markets.

The acquisition has been approved by the Board of Directors of each company and is expected to close during the first quarter of 2025, subject to certain regulatory approvals and customary closing conditions.

lidar
Lidar, short for light detection and ranging, is a remote sensing technology that uses laser light to measure distances and generate precise, three-dimensional information about the shape and characteristics of objects and surfaces. Lidar systems typically consist of a laser scanner, a GPS receiver, and an inertial measurement unit (IMU), all integrated into a single system. Here is how lidar works: Laser emission: A laser emits laser pulses, often in the form of rapid and repetitive laser...
positioning
Positioning generally refers to the determination or identification of the location or placement of an object, person, or entity in a specific space or relative to a reference point. The term is used in various contexts, and the methods for positioning can vary depending on the application. Key aspects of positioning include: Spatial coordinates: Positioning often involves expressing the location of an object in terms of spatial coordinates. These coordinates may include dimensions such as...
