Thermo Fisher Scientific Inc. has signed a definitive agreement to acquire Ahura Scientific of Wilmington, Mass., a field-deployed analytical instruments leader, for $145 million in cash plus the potential for an earn-out payment based on the achievement of certain 2010 financial targets.
The latter company’s products will expand the former company’s portfolio of portable analytical devices designed to provide customers with the ability to rapidly identify and authenticate a range of molecular and elemental substances in the field.
The Wilmington-based company specializes in the identification of chemicals for safety, security and pharmaceutical applications. Its rugged, miniaturized Raman and FT-IR (Fourier-transform infrared) spectroscopy instruments are used worldwide by military and civilian first responders, pharmaceutical manufacturers and consumer health organizations.
Expected to close during the first quarter of 2010, the transaction is subject to applicable regulatory approvals and a customary post-closing purchase price adjustment. Ahura Scientific will be integrated into Thermo Fisher’s Analytical Technologies Segment. The company does not expect this transaction to have a material impact on its 2010 financial results.
