Synopsys Acquires Ansys in $35B Deal

Software technology company Synopsys has entered into a definitive agreement to acquire Ansys for approximately $35 billion. The acquisition adds Ansys’ broad simulation and analysis portfolio to Synopsys’s design automation technology. Both companies are active in the development of software for optical imaging, illumination, and automotive lighting design, among other applications.

Through the acquisition, Synopsys’ total addressable market is expected to increase by 1.5× to approximately $28 billion.

Ansys, a developer of end-to-end multiphysics and multiscale simulation platforms for optical technologies, has collaborated with Synopsys since 2017. Ansys' software tools allow designers to expedite product development by evaluating prototypes in simulation. Its optical design software products include Speos, Zemax OpticStudio, and Lumerical. 

Synopsys' optical design technology enables the design of products and components related to quantum, augmented reality, spectroscopy, silicon photonics, lidar, metalenses, and metasurfaces. Its software solutions include CODE V, LightTools, OptoCompiler, OptSim, and RSoft Photonic Device Tools, which is a portfolio of simulators and optimizers for passive and active photonic and optoelectronic devices integrated with Synopsys' optical and semiconductor design tools. 

Synopsys intends to fund $19 billion cash considerations through a combination of its cash on-hand and debt financing. Synopsys has obtained $16 billion of fully committed debt financing.

The transaction is anticipated to close in the first half of 2025, subject to approval by Ansys shareholders, the receipt of required regulatory approvals, and other customary closing conditions.
