Companies Sign Definitive Merger Agreement
In California, Oplink Communications Inc. of Fremont will acquire Optical Communication Products Inc. of Woodland Hills, a designer and producer of fiber optic components for local area and other networks. Under the terms of the agreement, the former company will acquire the remaining 41.9 percent of the latter’s outstanding common stock for $1.65 per share in cash. The merger will make Optical Communication Products a privately held company, wholly owned by Oplink. Completion of the transaction is subject to the approval of two-thirds of the holders of the outstanding shares.
